1. Definitions

In these Terms and Conditions:

• "Service" or "Services" refers to the apartment rental consultation and placement services provided by Meridian Living
• "Client" or "You" means any individual or entity engaging our services
• "We," "Us," or "Our" refers to Meridian Living
• "Agreement" means these Terms and Conditions together with any service contract you enter with us
• "Property" refers to any apartment or residence we assist you in locating or securing

2. Acceptance of Terms

By engaging our services, submitting an inquiry, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.

To engage our services, you must be at least 18 years of age and have the legal capacity to enter into binding agreements under Taiwan law.

3. Services Description

Meridian Living provides professional apartment rental services in Taiwan, including:

• Property identification and matching based on client requirements
• Coordination of property viewings
• Rental market guidance and consultation
• Lease agreement review and explanation
• Facilitation of communication between clients and property owners
• Administrative support for rental transactions
• Additional services as specified in your chosen service tier

The specific services included depend on the service tier you select (Essential Residence, Premier Residence, or Complete Care Collection). Service availability may vary based on location and property availability.

4. Client Responsibilities

When using our services, you agree to:

• Provide accurate and complete information about your requirements and circumstances
• Respond to communications and requests for information in a timely manner
• Attend scheduled property viewings or notify us promptly if unable to attend
• Review all documents and materials we provide carefully
• Disclose any relevant information that may affect your ability to secure a property
• Comply with all applicable laws and regulations
• Act in good faith throughout the service engagement
• Pay all fees as outlined in your service agreement

5. Service Fees and Payment

Fee Structure: Our service fees are clearly outlined for each service tier. Fees are charged for professional consultation and service delivery, regardless of whether a lease agreement is ultimately secured.

Payment Terms: Payment terms will be specified in your service agreement. Typically, an initial consultation fee is due upon service engagement, with the remainder due at agreed milestones.

Currency: All fees are quoted and payable in Taiwan Dollars (TWD).

Additional Costs: Our service fees do not include rental deposits, advance rent payments, or any costs associated with the property itself. These are separate obligations between you and the property owner.

6. Refund Policy

Our service fees are non-refundable once services have commenced, as they compensate for professional time and expertise provided. However, we may consider partial refunds in the following circumstances:

• Cancellation within 24 hours of initial service engagement before any work has begun
• Service delivery failure on our part that we are unable to remedy
• Other exceptional circumstances at our discretion

7. Intellectual Property

All content on our website and in our materials, including text, graphics, logos, and software, is the property of Meridian Living and is protected by intellectual property laws.

You are granted a limited, non-exclusive license to access and use our services and materials for your personal rental search purposes only. You may not reproduce, distribute, modify, or create derivative works from our content without written permission.

8. Disclaimers and Limitations

Professional Guidance: We provide professional consultation and assistance, but we do not guarantee that you will secure any particular property or that any property will meet all your requirements.

Property Information: While we verify information to the best of our ability, we rely on property owners and third parties for certain details. We are not liable for inaccuracies in information provided by others.

Independent Decisions: You make all final decisions regarding property selection and lease agreements. We provide guidance, but you are responsible for your own decisions.

Legal Advice: Our lease review service involves explaining terms and identifying potential concerns, but it does not constitute legal advice. We recommend consulting an independent attorney for legal counsel.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability to you shall not exceed the fees you paid for our services
• We are not liable for indirect, consequential, or special damages
• We are not liable for delays or failures due to circumstances beyond our reasonable control
• We are not responsible for disputes between you and property owners

Nothing in these terms limits our liability for fraud, gross negligence, or matters that cannot be limited under applicable law.

10. Confidentiality

We maintain strict confidentiality regarding your personal information and requirements. However, we may share necessary information with:

• Property owners to facilitate viewings and lease discussions
• Our legal advisors for contract review purposes
• Service providers who assist in service delivery
• Authorities when required by law

11. Termination

By Client: You may terminate our services at any time by providing written notice. Fees for services already provided remain due.

By Us: We may terminate services if you breach these terms, provide false information, or if continuing the relationship becomes impractical.

Upon termination, we will provide any materials developed to that point and settle any outstanding fee obligations.

12. Dispute Resolution

Informal Resolution: We encourage you to contact us directly if you have concerns. We will make reasonable efforts to resolve issues promptly and fairly.

Governing Law: These Terms are governed by the laws of Taiwan (Republic of China).

Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts in Taipei, Taiwan.

13. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective when posted on our website with an updated "Last Updated" date.

Your continued use of our services after changes are posted constitutes acceptance of the modified terms. If you do not agree to the changes, you should discontinue using our services.

14. General Provisions

Entire Agreement: These Terms, together with your service agreement, constitute the entire agreement between you and Meridian Living.

Severability: If any provision is found invalid, the remaining provisions continue in full effect.

Waiver: Our failure to enforce any right does not constitute a waiver of that right.

Assignment: You may not transfer your rights under this agreement without our written consent.
